These Terms and Conditions ("Terms") govern your use of the website operated by Technology Solutions Co-Ordinations, L.L.C. and your engagement of our technology planning, coordination, implementation oversight, and related professional services ("Services"). By accessing the website or using our Services, you agree to these Terms.

Services & Deliverables

Our Services are provided under a written proposal, statement of work, master services agreement, or other mutually executed document that describes scope, milestones, assumptions, fees, and responsibilities. While Technology Solutions Co-Ordinations, L.L.C. applies professional judgment and industry-accepted practices, we do not guarantee specific business outcomes, vendor performance, third-party product behavior, or uninterrupted operation of systems outside our direct control.

Intellectual Property & Client Materials

Deliverables identified as owned by you in the applicable agreement will be assigned as stated therein. Pre-existing materials, general methodologies, templates, and tools developed or used by Technology Solutions Co-Ordinations, L.L.C. remain our property unless otherwise agreed in writing. You grant us a license to use your logos, data, and materials you provide solely to perform the Services.

Timelines and Payment Terms

Fees, invoicing cadence, and payment terms are set out in your service agreement. Unless otherwise stated, invoices are due upon receipt. Late payment may result in suspension of Services until accounts are current. Expenses incurred at your direction (for example, travel or third-party licenses) will be billed as agreed.

Termination

Either party may terminate Services as specified in the governing agreement, including notice periods for ongoing engagements. We may suspend Services for material breach, including non-payment or misuse of access credentials. Provisions that by their nature should survive (confidentiality, limitation of liability, indemnity where applicable) will survive termination.

Disclaimer of Warranties

Except as expressly stated in a signed agreement, Services and the Site are provided "AS IS." Technology Solutions Co-Ordinations, L.L.C. disclaims implied warranties to the fullest extent permitted by law. We do not warrant that third-party products, APIs, or networks will be error-free or continuously available.

Governing Law

These Terms shall be governed by the laws of the jurisdiction stated in your service agreement, or if none is stated, the laws of the State of Missouri, without regard to conflict-of-law principles that would require application of another jurisdiction’s laws.
